Agreement to These Terms
These Terms & Conditions ("Terms") govern access to and use of Auraist's Fashion stylist application and related services (the "Service"), provided by NexPro AI LLP, the parent company of Auraist ("Auraist," "we," "us"). By installing, accessing, or using the Service, a merchant agrees to be bound by these Terms on behalf of itself and its authorized users.
Definitions
- "Merchant" means the business that installs Auraist on its storefront.
- "Shopper" means an end customer who interacts with the Auraist widget on a Merchant's storefront.
- "Content" means product data, images, and other materials a Merchant submits to the Service.
- "Generated Output" means styled looks, fit recommendations, or previews produced by Auraist's AI models.
The Service
Auraist provides an AI styling and virtual try-on widget that Merchants can embed on their storefront, along with a dashboard for analytics and configuration. Features available to a Merchant depend on the subscription plan selected, as described on our Pricing page.
Eligibility
You must be at least 18 years old and have authority to bind your business to use the Service as a Merchant. Shoppers using the widget must meet any minimum age requirement set by the Merchant's own storefront terms.
Shopify and Other Third-Party Services
Auraist is distributed primarily through the Shopify App Store and is subject to Shopify's applicable terms in addition to these Terms. Where Auraist integrates with other third-party platforms, use of those integrations is also subject to that provider's terms.
Installation and Account
A Merchant is responsible for maintaining accurate account information, safeguarding login credentials, and for all activity that occurs through its account, including actions taken by employees or contractors it authorizes.
Plans, Free Trial, and Subscriptions
Auraist plans, including the 14-day free trial, are described on our Pricing page. Subscriptions renew automatically for successive billing periods unless cancelled before the renewal date. No credit card is required to start a free trial.
Fees, Billing, and Taxes
Fees are billed in advance on a monthly or annual basis, depending on the plan selected, and are non-refundable except as required by law or expressly stated at checkout. Merchants are responsible for applicable taxes, other than taxes based on Auraist's net income.
Merchant Responsibilities and Acceptable Use
A Merchant agrees not to:
- Use the Service to collect Shopper photographs without adequate notice or, where required, consent.
- Upload Content that infringes a third party's intellectual property or other rights.
- Attempt to reverse-engineer, decompile, or extract the underlying models powering the Service.
- Use the Service in a manner that violates applicable law, including consumer protection and biometric privacy laws.
- Interfere with the security or normal operation of the Service.
Shopper Photographs and Consent
Where a Merchant's storefront collects Shopper photographs through the Auraist widget, the Merchant is responsible for ensuring shoppers are given adequate notice, and where required by applicable law, that valid consent is obtained before a photograph is processed. Auraist processes Shopper photographs as described in our Privacy Policy and only on a Merchant's instructions.
Intellectual Property
Auraist retains all rights in the Service, including its software, models, and branding. A Merchant retains ownership of its Content. Merchant grants Auraist a limited license to use Content solely to provide and improve the Service, subject to the terms of our Privacy Policy.
AI-Generated Content Disclaimer
Data Protection and Privacy
Our collection and use of personal data in connection with the Service is described in our Privacy Policy, which is incorporated into these Terms by reference.
Confidentiality
Each party agrees to protect the other's confidential information with the same degree of care it uses for its own confidential information, and not less than a reasonable degree of care, and to use it only as necessary to perform under these Terms.
Warranties and Disclaimers
The Service is provided "as is" and "as available." To the maximum extent permitted by law, Auraist disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
To the maximum extent permitted by law, Auraist will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue, arising out of or related to these Terms or the Service, and Auraist's total liability will not exceed the fees paid by the Merchant in the 12 months preceding the claim.
Indemnification
A Merchant agrees to indemnify and hold Auraist harmless from claims arising out of the Merchant's Content, its breach of these Terms, or its violation of applicable law, including laws relating to Shopper consent and biometric data.
Term, Suspension, and Termination
These Terms remain in effect while a Merchant uses the Service. Auraist may suspend or terminate access for material breach of these Terms, non-payment, or conduct that creates risk or legal exposure for Auraist. A Merchant may cancel a subscription at any time through the dashboard, effective at the end of the current billing period.
Changes to the Service and These Terms
We may modify the Service or these Terms from time to time. If we make material changes to these Terms, we will provide notice by email or through the dashboard before the changes take effect.
Governing Law and Disputes
These Terms are governed by applicable law in the jurisdiction where NexPro AI LLP is organized, without regard to conflict-of-law principles, unless a mandatory local consumer protection law provides otherwise. Any dispute will be resolved in the courts of competent jurisdiction in that location, unless otherwise required by applicable law.
General Provisions
- Entire Agreement — these Terms, together with the Privacy Policy, constitute the entire agreement between the parties regarding the Service.
- Assignment — a Merchant may not assign these Terms without Auraist's prior written consent.
- Severability — if any provision is found unenforceable, the remaining provisions remain in effect.
- No Waiver — failure to enforce a provision is not a waiver of the right to do so later.
